NOVOBI PRODUCT LICENSE AGREEMENT

*This Terms and Conditions is a simplified and partially complete version of the product/service agreement required to purchase and use any of Novobi’s products. 

ACCESS TO NOVOBI APPS

The software and associated files can only be used (executed, modified with pre-authorization from Novobi, executed after modifications) with a valid Service Agreement and Product License Agreement with Novobi.

OWNERSHIP OF NOVOBI APPS

The software and associated files are the intellectual property of Novobi, LLC.

USING NOVOBI APPS

It is forbidden to publish, distribute, sublicense, or sell copies of the apps or modified copies of the app.

Users are responsible for acquiring permission to integrate the purchased app with the platforms for apps that require integration with third-party platforms such as Odoo Retail Solutions (when connected to platforms like Amazon, BigCommerce, or Shopify).  

 

The Odoo Retail Solution app, in particular, allows users to collect data from their customers, and users must follow the guidelines set forth by each respective platform. Novobi is not responsible for the data collected by our users beyond what is noted in the service agreement pertaining to handling data collection.

SUPPORT AND MAINTENANCE FOR NOVOBI APPS

Once any Novobi app is purchased and in use, users with an active license can submit unlimited support tickets through our designated support channels, as noted on the service agreement. Novobi will handle support tickets per the SLA (Service Level Agreement) between the user and Novobi. Support may not be available if apps are modified without pre-authorization from Novobi.

If bugs or security risks are found in the app, Novobi will inform users and advise on the course of action to fix the issue. 

REMOVING NOVOBI APPS

If the user wants to remove the app, they can remove the app from their system themselves or contact Novobi for assistance. Novobi will not be liable for any missing data or features after removing the app.

Novobi may also notify the user and request that the app is removed from their system if payment to keep licensing updated is not received.

WARRANTIES FOR NOVOBI APPS

THE SOFTWARE IS PROVIDED “AS IS, ” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON INFRINGEMENT. IN NO EVENT SHALL THE AUTHORS OR COPYRIGHT HOLDERS BE LIABLE FOR ANY CLAIM, DAMAGES, OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT, OR OTHERWISE, ARISING FROM, OUT OF, OR IN CONNECTION WITH THE SOFTWARE OR THE USE OR OTHER DEALINGS IN THE SOFTWARE.
